Engagement of Accountax Financial Expert (AFE)
(A Service Provided by Accountax Consultancy)
These Terms & Conditions govern the engagement of an Accountax Financial Expert (AFE) provided by Accountax Consultancy (“Service Provider”) to the client organization (“Client”). By availing the services, the Client acknowledges and agrees to the following terms:
1. Engagement of Services
The Client hereby appoints Accountax Consultancy to assign a qualified Accountax Financial Expert (AFE) for providing financial management, accounting, taxation, advisory, and other related professional services as mutually agreed in writing.
2. Scope of Services
The detailed scope of work, deliverables, timelines, service hours, and responsibilities shall be clearly defined in a separate Service Agreement, Proposal, or Statement of Work (SOW). Any services requested beyond the agreed scope shall require prior written approval and may be subject to additional professional fees.
3. Professional Standards & Client Cooperation
Accountax Consultancy shall assign a competent and suitably qualified AFE with relevant expertise. The Client agrees to provide accurate, complete, and timely information necessary for the proper execution of services. Accountax shall not be responsible for delays or inaccuracies resulting from incomplete or incorrect information provided by the Client.
4. Confidentiality & Data Protection
Both parties agree to maintain strict confidentiality of all financial data, business information, trade secrets, and proprietary records exchanged during the engagement. Such information shall not be disclosed to any third party without prior written consent, except where disclosure is required under applicable law or regulatory authority.
5. Independent Professional Relationship
The assigned AFE shall operate as an independent professional under Accountax Consultancy. Nothing contained herein shall be construed as creating an employer-employee relationship between the Client and the AFE. The AFE shall not be entitled to any employment benefits, statutory contributions, or compensation from the Client.
6. Fees & Payment Terms
The Client agrees to pay professional fees as specified in the approved proposal or SOW. Payment terms including billing cycle, taxes, statutory levies, and due dates shall be governed by the agreed document. Delayed payments may result in suspension of services and/or applicable late payment charges.
7. Term & Termination
Either party may terminate the engagement by providing written notice as defined in the governing agreement. Upon termination, the Client shall settle all outstanding dues for services rendered up to the effective termination date.
8. Intellectual Property & Usage Rights
All reports, financial statements, advisory documents, and deliverables prepared during the engagement shall become the property of the Client upon full payment of agreed fees. Such materials are intended solely for the Client’s internal business purposes and may not be reproduced or distributed without prior written consent.
9. Limitation of Liability
Accountax Consultancy and its AFEs shall exercise reasonable professional care and diligence. However, liability shall be limited to the extent of professional fees paid for the specific engagement. Under no circumstances shall Accountax be liable for indirect, incidental, consequential, or special damages arising from reliance on Client-provided information, statutory amendments, or external factors beyond reasonable control.
10. Compliance with Laws
The Client remains responsible for ensuring compliance with all applicable laws and regulations. The AFE provides advisory services based on prevailing legal provisions and information available at the time of engagement.
11. Governing Law & Dispute Resolution
This engagement shall be governed by the laws applicable in the jurisdiction of Accountax Consultancy’s Head Office. Any disputes arising shall first be resolved amicably through discussion or mediation before initiating formal legal proceedings.
12. Entire Agreement
These Terms & Conditions, together with the Service Agreement or SOW, constitute the entire understanding between the parties and supersede all prior discussions, communications, or representations related to the engagement.
